The Group Senior Legal Counsel M&A and General Contract Law supports and collaborates with the Group Head of Legal M&A and Special Projects in advising global M&A transactions inbound and outbound. He/she further advises on general contract law matters especially in the area of Operations and Procurement. This role also ensures the provision of “standard of the art” templates for the business and creates playbooks for standard civil law tasks.
M&A Legal Advisory
- Support the M&A business team as well as local management throughout the deal lifecycle of worldwide M&A transactions both inbound and outbound
- Lead or support legal due diligence, risk assessments, and transaction structuring
- Draft and negotiate transaction documents (e.g., SPAs, TSA, shareholder agreements, LoIs, NDAs)
- Coordinate with external counsel and internal stakeholders across jurisdictions
- Support legal reporting related to M&A and contract law
- Advise on post-merger integration activities, including legal entity restructuring, intercompany agreements and governance alignment
- Identify and mitigate legal risks arising from integration processes.
- Monitor and manage potential or actual disputes arising from M&A transactions (e.g., warranty claims, earnout disagreements, breach of covenants).
- Ensure proper documentation and legal risk mitigation in transaction records.
General Contract Law
- Provide legal advice on general civil and commercial contract matters, with a focus on Group Procurement.
- Review, draft and negotiate procurement contracts, including supply agreements, service contracts, and framework agreements.
- Take applicable laws e.g. around supply chain into account.
Template and Playbook Development
- Develop and maintain state-of-the-art contract templates tailored to business needs.
- Create legal playbooks for standard civil law tasks to ensure consistency and efficiency in the contracting.
- Train business units on the use of templates and playbooks.
- Governance and Risk Management
- Identify and mitigate legal risks in contracts and transactions.
- Legal qualification (LL.M. or equivalent) in a European jurisdiction
- At least 7 years of professional experience with at least 3 years in a similar in-house position (HQ level)
- Experience in the health care industry or even diagnostic services of high advantage
- Practical, hands on, agile and solution orientated mindset as to ways of working and legal subjects matters
- Willingness to grow into a senior role in a legal department
- Ability to work with and support diverse stakeholders and desire to create an internal network to support the business in its strategic objectives
- Strategic and business focused mind-set
- Excellent command of English, work proficiency in at least one other European language is an asset, further language skills are appreciated
